1. Agreement to Terms

Welcome to Join The Branch ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Join The Branch website located at jointhebranch.com (the "Service"), operated by Sarnia LLC.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Join The Branch is a community-powered platform that enables users to:

• Create and join neighborhood communities
• Share vendor lists and recommendations
• Organize group home services to negotiate better rates
• Submit borrow requests and proposals for home services
• Collaborate with neighbors for services including lawn care, snow removal, and other home maintenance needs

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration, including your name, email address, phone number, and home address.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.

5. User Content and Conduct

5.1 User-Generated Content

Users may submit content to the Service, including borrow requests, proposals, vendor recommendations, and community posts ("User Content"). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with operating the Service.

5.2 Content Standards

You agree that your User Content will not:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Contain false, misleading, or fraudulent information
• Include hate speech, harassment, threats, or abusive content
• Contain spam, advertising, or promotional material (except vendor listings)
• Include malicious code, viruses, or harmful software
• Violate the privacy rights of others

5.3 Content Moderation

Community administrators are responsible for moderating content within their communities. While we provide tools for community moderation, we do not routinely monitor User Content and are not responsible for the accuracy, appropriateness, or legality of User Content.

5.4 Right to Remove Content

We reserve the right, but not the obligation, to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion, without prior notice.

6. Vendor Relationships and Disclaimers

6.1 No Vetting of Vendors

IMPORTANT: Join The Branch does not vet, verify, endorse, or guarantee any vendors, service providers, or businesses listed on the platform. Vendor information is provided by community members, and we make no representations or warranties regarding the quality, reliability, safety, or legality of any vendor services.

6.2 User Responsibility

You are solely responsible for:

• Conducting your own due diligence on any vendor or service provider
• Verifying credentials, licenses, insurance, and references
• Negotiating terms and prices directly with vendors
• Entering into contracts or agreements with vendors
• Paying vendors directly for services rendered
• Resolving any disputes with vendors

6.3 No Service Provider

Join The Branch is a platform that facilitates connections between users and vendors. We are not a home services provider and do not perform, supervise, or control any services provided by vendors listed on the platform.

6.4 Community Responsibility

Vendor recommendations and ratings are the responsibility of the community and its members. We encourage users to report any issues or concerns to their community administrators.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Sarnia LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• Vendor information or user-generated content is accurate, complete, or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SARNIA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service, including vendors
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Services provided or not provided by any vendor listed on the platform

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Sarnia LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your interaction with any vendor or service provider
• Your violation of any rights of another party

11. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.

12. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Join The Branch. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content or services.

13. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time, temporarily or permanently, with or without notice. We also reserve the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Cobb County, Georgia for the resolution of any disputes.

15. Dispute Resolution

If you have any dispute with us relating to the Service, you agree to first contact us at support@jointhebranch.com and attempt to resolve the dispute informally. If we cannot resolve the dispute informally, any legal action must be brought in the state or federal courts located in Cobb County, Georgia.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions will remain in full force and effect, and an enforceable term will be substituted that most closely reflects our intent in adopting the unenforceable term.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sarnia LLC regarding the use of the Service and supersede any prior agreements.
